1. Overview
This website is operated by RE.STATEMENT LLC (“RE.STATEMENT”, “we”, “us”, “our”). RE.STATEMENT is an online marketplace for upcycled fashion: new clothing and accessories made by independent designers from existing or used materials. By using this site or buying from us, you agree to these Terms of Service, our Privacy Policy, our Return and Refund Policy and our Shipping Policy.
2. Eligibility
You must be at least 18, or the age of majority where you live, to use this site or place an order. You may not use the site for any unlawful purpose.
3. Accounts
You are responsible for keeping your password confidential and for all activity on your account. Provide accurate, current and complete information at checkout. We may refuse service, close accounts or cancel orders at our discretion.
4. How the marketplace works
Items are designed, made, priced and shipped by independent designers. RE.STATEMENT operates the storefront, processes payment and provides customer support. The designer is responsible for the accuracy of their listing and for making and shipping the item.
Most pieces are one of one and made from reclaimed materials, so minor variation and wear consistent with those materials is expected and is disclosed in the listing.
5. Pricing, shipping cost and payment
All prices are in U.S. dollars. Shipping is charged separately and paid by the customer, calculated at checkout based on your address and the items in your order. Sales tax is added at checkout where applicable. The full total is shown before you pay.
Orders containing items from more than one designer may incur shipping for each and arrive separately.
We accept Visa, Mastercard, American Express, Discover, Apple Pay, Google Pay and any other method shown at checkout. Submitting an order authorizes us to charge your payment method for the total.
We may change prices at any time and may correct pricing errors even after an order is placed. If a correction affects your order we will contact you and offer a cancellation and full refund.
6. Designer commission and payouts
Designers sell on RE.STATEMENT through Shopify Collective, which connects a designer’s own Shopify store to ours. The designer sets the price they want to receive for an item. RE.STATEMENT lists that item at a retail price that includes a commission of between 10% and 20%, depending on the category and the arrangement agreed with the designer.
Shopify Collective handles the split automatically. When a customer buys, Collective routes the designer’s portion to the designer and the commission to RE.STATEMENT at the time of the sale. Designers do not invoice us, do not wait on a manual payout, and never pay a separate listing or transaction fee to RE.STATEMENT. Payment processing fees are handled by Shopify under each party’s own Shopify agreement.
Refunds reverse the same split. Where an order is refunded, the designer’s portion and the commission are both reversed through Collective.
7. Shipping and delivery
See our Shipping Policy for costs, processing times, delivery estimates and destinations. Delivery estimates are not guarantees and we are not liable for carrier delays outside our control.
8. Returns and refunds
Each designer sets their own return policy, shown on their profile and listing, and that policy governs your return. Where a designer has no policy, our baseline applies: returns must be requested within 14 days of you receiving the item, the item must be unworn and in original condition, and return shipping is paid by the customer. Damaged, defective or incorrect items are always covered by us in full. See our Return and Refund Policy.
9. Order acceptance and fraud prevention
Your order is an offer to buy. We may accept or decline any order. We may limit or cancel orders that appear to be placed by dealers or resellers, that fail address or payment verification, or that we reasonably believe to be fraudulent. Where we cancel, we refund any amount charged in full.
10. Prohibited uses
You may not use this site for any unlawful purpose; to infringe intellectual property; to harass, abuse, defame or discriminate; to submit false information; to upload malicious code; to scrape or harvest data; to interfere with site security; or to compete with us using our content.
11. Intellectual property and user content
Site content, design, text, graphics and logos are the property of RE.STATEMENT or its licensors. Designer names and images remain the property of the respective designers and are used with permission. If you submit reviews, photos or comments, you grant us a non-exclusive, royalty-free, worldwide licence to use and display that content in connection with our business, and you warrant it infringes nobody’s rights.
12. Third-party links
Our site may link to third-party sites we do not control. We are not responsible for their content or policies.
13. Disclaimer of warranties
The service and all products are provided on an “as is” and “as available” basis without warranties of any kind, express or implied, including implied warranties of merchantability and fitness for a particular purpose, except where such disclaimers are prohibited by law. Nothing here limits your statutory consumer rights.
14. Limitation of liability
To the maximum extent permitted by law, RE.STATEMENT and its officers, employees and agents are not liable for indirect, incidental, special, consequential or punitive damages arising from your use of the site or any product. Our total liability for any claim is limited to the greater of the amount you paid for the item in question or $100 USD.
15. Indemnification
You agree to indemnify and hold harmless RE.STATEMENT and its affiliates from any claim or demand, including reasonable legal fees, arising from your breach of these terms or violation of any law or third-party right.
16. Governing law and disputes
These terms are governed by the laws of the State of Texas, United States. Disputes are first addressed through informal negotiation for at least 30 days. Unresolved disputes are settled by binding arbitration in Harris County, Texas, on an individual basis, except claims for injunctive relief or involving intellectual property, which may be brought in court.
17. Changes
We may update these terms by posting a revised version here. Continued use of the site after changes are posted means you accept them.
